Terms of Service

These terms establish the baseline rules for using the OrbitGoal website and engaging OrbitGoal for emergency infrastructure or project rescue work. They are designed to protect the business, set expectations clearly, and keep commercial risk controlled.

1. Website Use and Acceptance

By accessing orbitgoal.com, you agree to these Terms of Service. If you do not agree, do not use the website or request services through it.

This website is provided for informational and commercial inquiry purposes only. Nothing on the site constitutes legal, financial, or operational advice.

2. No Engagement Until Confirmed in Writing

Submitting an email, contact request, or incident brief does not create a client relationship on its own. OrbitGoal is only engaged when scope, pricing, and commercial terms are confirmed in writing.

If a signed proposal, statement of work, or order form conflicts with these website terms, the written service document controls for that engagement.

3. Service Scope and Emergency Work

OrbitGoal provides senior-level technical intervention for infrastructure, deployments, APIs, application logic, delivery blockers, and related production or launch issues.

Emergency work is performed on a best-efforts basis. Timelines, outcomes, and remediation paths depend on system condition, third-party dependencies, available access, and the accuracy of information provided by the client.

  • No uptime commitment, SLA, or guaranteed recovery window exists unless explicitly agreed in writing.
  • OrbitGoal may refuse or stop work where access is unlawful, unsafe, misleading, or operationally reckless.
  • Clients remain responsible for business decisions, rollback approvals, releases, backups, and access control over their own systems.

4. Value-Based Pricing and Payment

OrbitGoal uses value-based pricing. Fees are aligned to urgency, scope, business impact, delivery risk, and the value of resolving the incident or unblock.

Any pricing displayed on the website is descriptive only and is not a binding offer. Final fees, deposits, invoice timing, and payment terms are defined in the applicable written scope.

  • Work may be paused or withheld if required approvals, deposits, or invoice payments are overdue.
  • Unless otherwise stated in writing, reimbursable third-party costs are the client's responsibility.
  • Chargebacks, reversals, or disputed payments do not transfer rights in work product back to the client until the balance is fully resolved.

5. Client Responsibilities

The client must provide accurate incident context, lawful system access, working points of contact, and timely decisions where approvals or risk tradeoffs are required.

Before requesting production intervention, the client is responsible for ensuring that they have the right to authorize the work and that critical backups or recovery options are handled appropriately.

  • You represent that you own or validly control the systems, code, infrastructure, and data you ask OrbitGoal to access.
  • You agree not to request work that violates contracts, law, export controls, privacy obligations, or third-party platform rules.

6. Intellectual Property

Each party retains ownership of its pre-existing materials, tools, templates, know-how, and confidential information.

Upon full payment, the client receives the right to use custom deliverables created specifically for the engagement, excluding OrbitGoal's general methods, reusable frameworks, internal tooling, and background IP.

7. Warranties Disclaimer

The website and services are provided on an 'as is' and 'as available' basis to the fullest extent permitted by law. OrbitGoal disclaims all implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

OrbitGoal does not warrant that any issue can or will be fully resolved, that any recommendation will be adopted, or that third-party systems will behave as expected after intervention.

8. Limitation of Liability

To the fullest extent permitted by law, OrbitGoal will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost revenue, lost profits, lost data, reputational harm, or business interruption.

OrbitGoal's total aggregate liability arising out of the website or any engagement is limited to the amount actually paid to OrbitGoal for the specific engagement giving rise to the claim during the three months preceding the event.

9. Indemnity

You agree to defend, indemnify, and hold harmless OrbitGoal from claims, losses, liabilities, damages, and expenses arising out of your systems, your data, your instructions, your misuse of the website, or your breach of these terms.

10. Confidentiality and Public Reference

OrbitGoal will treat non-public client information as confidential and use it only as reasonably necessary to evaluate, perform, and support the engagement.

Unless otherwise agreed in writing, OrbitGoal may identify the client relationship in a general portfolio or client list without disclosing confidential technical details.

11. Governing Law and Updates

These terms are governed by the laws applicable to the service provider's principal place of business, excluding conflict-of-law rules, unless a written engagement states otherwise.

OrbitGoal may update these website terms from time to time. Continued use of the website after changes become effective constitutes acceptance of the revised version.

Questions about these terms should be submitted through the OrbitGoal ticket desk.
